The reason that cmd.exe keeps returns is because of the file protection feature of Win2K. The OS recognizes that the file is missing and restores it. You can turn this feature off if you wish and there are ways to adjust what gets restored, but Roger's suggestion is the best course of action. Also, the default install of URLScan on the web server will prevent access to all executables on the web server.
