I'd agree that this question is better suited to an Exchange list.

The thing I want to know is why the insistence on keeping the same
server name during the migration?  For moving an Exchange install to new
hardware, the Swing method is the best, easiest and fastest way
(Microsoft has a good whitepaper on this)...  It is also a terrific way
to perform the upgrade from Exch5.5 to Exch2k.  If you use the swing
upgrade method the change will be almost transparent to your users but
of course you will need to change the server name...  If you absolutely
must keep the server name on new hardware then you're probably going to
want to do a double swing which would involve a temporary server (trying
to move an install to new hardware any other way would not be
recommended and will probably cause nothing but headaches).  

The change in roles is not a big factor in Win2k/AD as servers can be
promoted and demoted to DC's almost at will...  In fact, it's
recommended that you NOT run Exch2k on a DC unless you're running SBS.

Peter is correct in that there is a lot of information on this subject
available on MS's web site, on multiple other sites, mailing lists, and
as chapters in books...  Make sure you understand the processes involved
before you begin (checking for duplicate mailbox rights, setting up ADC,
migrating public folders, etc etc etc)...

We are planning to migrate AD . Before that we want to do the following:

Currently we have an NT Domain (1 PDC and 2 BDC) and my exchange Server
5.5
is on BDC (named cipx2).
I want to move my Exchange on another server with the same name( cipx2)
,
however as member server.

Do you know if after I moved my exchange on a member server with the
same
name of my old BDC we could have any problem with the change role?
Do you know about any link about this process?
