If it was me, Id do a test first. Create the 2012 environment, then copy the VHD's of the SBS over to that and boot it (with the net card disabled) and see what occurs.
All being well, then do it live. Id suggest though that it wont be an issue, the VM shouldn't care the host its on, that's certainly the case with ESXi.
