Have you tried a different video card? Is there a modem installed in the Term server? You might try removing the Modem completely, card and all, then reboot back into the server and uninstall the Video card and reboot, let it re-find it and see if it assigns it a different memory address and IRQ, then shutdown and re-install the modem and let it find it and give it a different IRQ. Sounds like you have two devices trying to use the same memory addresses. Might be the NIC card and not the modem also.
