If there are no issues with the existing DC, just convert it. I just did this for my DEV domain and it was easy-peasy. The only advice I can give is make sure the disk(s) are neat, i.e., get rid of any stagnant data, the Windows patches uninstall folders (found in %systemroot%\system32\$NTUnistallKB..yada,yada,yada) and any old apps. These simple actions sped up my P2V process considerably.
