If there are no issues with the existing DC, just convert it.  I just
did this for my DEV domain and it was easy-peasy.  The only advice I can
give is make sure the disk(s) are neat, i.e., get rid of any stagnant
data, the Windows patches uninstall folders (found in
%systemroot%\system32\$NTUnistallKB..yada,yada,yada) and any old apps.
These simple actions sped up my P2V process considerably.

I was thinking about virtualizing my 2003 Domain Controller (3 User
network) and running it under VMWare.  I'm debating as to which way to
do this.  Would it be better to P2V the existing DC with the VMWare
converter and import it, or would it be better to just put up another
VM, promote to DC, and then move the FMSO roles from the existing DC and
then decommission it?
