I assume you're going to install 5.0 on your VCenter (it's fully backwards compatible for management). You can upgrade the 4.1 box to 5 in place but the 3.5 boxes would be a full clean rebuild (if you did them at all)

I have a Dell PE R310 with ESXi 4.1, and I've already stood up a number of new VMs on it, including the machine that will be the vCenter server. I've been promised new boxes to which I will be migrating the new machines, but haven't received them yet.
