The major thing I don't like about this scenario (even though I've successfully 
done it several times due to business needs) is that you don't get the 
advantages of the new VHD file format.

I would take a few hours of downtime, export the VM, format/reinstall the OS, 
import the VM - get the best of all the new worlds. :-)

  I don't like in-place upgrades on Windows.  Never have.  Given how little 
configuration is living in your host OS, doing a clean install should be easy 
enough.  Something to consider.

  Of course, by the same token, there's relatively little to go wrong with an 
in-place upgrade, so this may be excessive paranoia.
