Shoot, I just had this issue last week after I did a repair install of XP. It was real similar. IIRC I had to stop automatic updates, and then delete the SoftwareDistribution folder in Windows (you cant delete it when AU is running). Google corrupted softwaredistribution folder. It also holds the database index for updates. Which is where my issue was.
