It's shareware, not freeware, but Total Commander from ghisler.com has a tree-
comparison tool that is very powerful.  It's under "Commands" -> "Synchronize 
Directories" and you can compare by binary content as well as by filename and 
time-date stamp.  I use it often.

Googling "dirsync" turns up another shareware tool that you can 'legally' use 
free for 30 days:
