Sorry to pile on late but did you run the ADPREP version from 2003 R2 DISK1?
If so you will get schema version 30, which is just W2K3 without R2. You might try running adprep as the Schema Master user ID again. Since there is Exchange sitting on a DC you might need to update the Exchange Schema as well before you can dcpromo a W2k3 server.
