It was Mcafee 8.0i causing the issue, quick call with MS Support and doing some tracking down, of replication and FRS didn't show a problem, we uninstalled V8.0i (with latest Engine and patches) and bam it started working just fine...
Upgraded to V 8.7i, I just don't like M$ recommendations for excluding the sysvol directory, and some others, from a network worm/virus standpoint, since sysvol is open and netlogon shares is open.
