Double check that the server in question support the AMD-V. Perhaps all Opterons did (even the old ones) and the motherboard (listed as a Tyan K8SR) does as well.
Other than that.... it might work. I bet it's not on VMWares compatibility list anywhere. Why can't you do a 32-bit VM on your 64-bit server (Hyper-V)?
