Eric: An express or implied contract is equally valid
(enforceable). Judges are reluctant to imply
contracts, but do so when the facts support it. So you
are always better to be explicit - i.e. when in doubt
say it in writing.

Alain: I thought so.

Eric: Regarding MetaCard: I assume MC will not be a
partner - you should be explicit about this. However
will the CEO of MC be a partner? Kind of important to
be very clear about the relationship between your
partnership and MC.

Alain: I believe that MC merely wants to be able to
ship the GUI portion of our Open Source alternative to
HC as an alternative to MetaCard's existing GUI
because their GUI is often criticized as being the
weak point of their product. You are right though,
Eric, that we should make our relationship with MC
more explicit.

Eric: Licenses are not really problematic. I think I
understand what you want. But please send me anything
else you have regarding ideas, persons to be involved
- anything. 

Eric: A partnership can require unanimity of all
members prior to decisions, or a simple majority, or
whatever arrangement you desire.

Alain: I choose the third alternative!

Eric: Also, please try to send me a copy of the PERL
and GNU licensing agreements - I shall keep an eye out
for them myself, as I do intend to use them as
models.Ok?
