right now, however, is that the licencing and
organizational stuff should take precedence over the
partnership stuff. It is just too early for the latter
: 1. no clear structure or roles, 2. the deal with
MetaCard may be a temporary mutual-convenience kind of
affair rather than a long-term relationship (partnership).

Eric: Er, the partnership envisioned would be between the persons who are
working on this project. Not with metaCard. With metaCard we would (probably)
enter, as a partnership into a contract. In exactly the same way, our end-user
license would be between 'us' (a partnership to be formed) and the end-user. 

As you can see then the licensing issue is subordinate to the partnership
organisation and formation. Similarly the subordinate with metaCard is also
secondary. I.e, to reuse a metaphor: put the horse before the cart. First,
form a partnership: then draft a license and enter into a contract with
metaCard. 

Again, the partnership agreement which i am proposing would be between the
persons who will work on creating a GUI/Engine and _not between 'us' and
metaCard.
