partners?
Alain: If we want to allow for the possibility of our
partnership to enter into some form of business later
on down the road, and thus expose everyone in the
partnership to liability, then unanimity must be
required. If majority-rule were to prevail here
instead of unanimity, then dissenters would be exposed
to liability against their will. Furthermore, the mere
risk of this happening may make potential partners shy away.
