I'm not aware of any reason why vmware-tools can't be installed onto an image. You simply need to have the license to create vmware-guests and install vmware-tools into it. After that you can distribute the image. As long as you don't infringe on any other companies copyright however !
Lets not forget that vmware-server is now free, that allows you to create guests from within it. You don't just get better network performance, you also get better performance when viewing the image through the console.....
