found the issue, was using V2 image on V1 device.
VG3503J-1-A-DC uses ROM 1.0.5 and GPHY Firmware 0x8400. 2012 [1.1 vr9
chip] vr9_phy22f_a1x.bin [TARGETPROFILE= VG3503J ]
VG3503J-A-DC uses ROM 1.1.4 and GPHY Firmware 0x0405. 2013 [1.2 vr9
chip] vr9_phy22f_a2x.bin [TARGETPROFILE= VG3503J_V2 ]
