set

SQLNET.AUTHENTICATION_SERVICES= (NTS)

in the sqlnet.ora on the W2K PC, create a local ORA_DBA group and make the user who is administering Oracle a member of that group.
Then you can "connect / as sysdba" without needing a password. Once in you can change the sys and system passwords.
