Physical memory and virtual memory overlap in windows. If you have allocated 100M of memory, but only 50M of it is mapped to physical memory (rest is in pagefile), you see 100M and 50M accordingly in task manager. Also, there is a situation where you can have more physical memory than virtual memory. Im not sure, but it might be doing something with deallocated memory, which is not reclaimed by OS or smth like that. There is a note about windows nt memory management in metalink, search from there if want additional information.
