I have seen this in cases where the app is nowhere near the 64K limit.

If your application is very large, it may be that your .prc is invalid.
After compiling, trying dragging the .prc file onto the emulator. If it
doesn't install the app, then your app is invalid. You may have gone over
the 64K single-segment limit, if this is the case.
