To do this with Constructor 1.6 or later:

1) Open the original PRC file.
2) Create a new project file in the same Constructor session.
3) Select all of the resources in the PRC.
4) Do a "Copy"
5) "Paste" the resources into the new project and save it as a .rsrc
file.

This has a good chance of working, although you should check the new
.rsrc file ASAP to make sure everything translated fine.  You'll also
need to give items names and fix the .rsrc file settings.

Of course, the PilRC plugin for CodeWarrior also works quite well.
