Have you tried running Scandisk in the safe mode.  All of the drivers
will be disabled and there should be no conficts. Besure that you are
using Scandskw if running under windows.  The other is the pages in the
System.ini.  The default is 4 and not entered as a line.  You can add
the line

minSPs=16

directly under the [386Enh] section to increase the pages.  I've found
that this has cleared a number of memory problems in the past.

The only other thing would be a corrupt Scandskw.exe file that could be
causing the error.  Have no reason to suspect this as its a new
installation, but if you could get another copy from another source and
replace the orgional, this would remove yet another possible source.
