Thanks for the tip about extensions... Commenting out the following
extension (a 3rd party debugger) fixed the problem

Either on Apache (2.0.55 or later) or on Apache 2.2 restart and
shutdown both produce an APACHE2 crash when PHP is enabled.

An unhandled win32 exception occurred in apache.exe[488].

Restart happens smothly and without crash when PHP is disabled
(commented out in the httpd.conf file).

A similar bug report was made earlier this month by someone... and it
was mistakenly classified as bogus. 

The person reporting the bug attributed it to a PECL module when in
fact it is a general crash attributable to any php5apache2.dll or
php5apache2_2.dll process (operational under an apache2 Windows
environment). The bug occurs every time the server is shutdown or
restarted.
