Well, php 4.1.2 for windows probably wasn't compiled to work with apache 2. Apache 2 has changed too much for the php developers to keep on top of it. If you were using unix/linux, you could compile php to work with apache 2, but since you're using Windows, you're stuck with using Apache 1.3.24 until the php group releases a new version for Apache 2.
