you should probably send the exact error message so we can be sure...
but Im betting that its complaining about build numbers being different. You probably have incompatible versions of php4apache.dll and php4ts.dll on your machine... or else one of the other dlls that you load up (referenced in your php.ini file) is too old. You'll have to check all files in your system path to make sure you replaced all old dlls with the new ones.
