I have an ASUS Dual Xeon PU-DLS server with SCSI
controller and ethernet controllers:
Intel Corp. 82544GC Gigabit Ethernet Controller
Intel Corp. 82540EM Gigabit Ethernet Controller

I use RH 7.3 with 2.4.20-19.7smp Kernel. Installation
is smooth, no problem at all.. Just use the driver
image found in the Motherboard CD Installation.. 

And try upgrading to RH7.3 or RH8.0.
