Here's what the service source says to try in this situation (in order of 
things to do...not all items):

When Shutdown is selected with power adapter plugged in, computer shuts down 
but immediately powers back up

1 Reset PRAM. (Hold down the Apple+Option+P+R upon start up until a second 
chime is heard)
2 Disconnect power adapter, remove battery, disconnect backup battery, and 
wait 15 minutes before retesting.
