Yes, it should fit and work just fine note that the UMAX daughtercards often were equipped with a connector on the top of the module which allowed two CPU's to be hooked together for multiprocessing, and the PowerCenter card hold down may have to be modified, Also, the 512k cache module MAY be too slow for the CPU...you'll know if you get random freezes after running for a while. If this is the case you'll have to remove the cache and find a faster 1mb cache module. The PowerCenter board is usually good up to 57 mhz bus speed (later ones could handle up to 62 mHz) so that won't be an issue (ie. the card will run @ 50 mHz) If you or any other member wants a good article on cpu upgrading (below G3) let me know offline and I will send it along.
