I had this problem on my XP box with the built in wireless. It happened when the MS Update couldn't get out due to an overzealous update of the security suite I was running. If I killed the update process ( don't recall the name it was in Task Manager ), or disabled the wireless connection, shutdown went fine. A little research in the recent update of the security suite, I found it had that blocked, don't ask. I set it to allow and the problem went away.
