So they want to reproduce, modify, distribute, transfer the right etc of your source code to any party, right? Basically, you're writing code that will belong to them to do as they want, it sounds. If that's agreeable to you, fine. If not, what part do you want changed? Do you want exclusivity (where they can't give it to any third party or distribute or modify or reproduce it)? Charge x. If you have to agree to those things, then charge a multiple of x (for example, 5x). That way, you make up for what might be potential future lost income. (But then again, it's hard to say lost income on something that might never be sold again for addt'l money.) -- Michael J.
