Oh, I'm sure they are. Guaranteed.

Downgrades count -- you actually purchased a Vista license and downgraded.
MSDN, all those other developer packs, they count. Probably Vista betas
count, too.

Note that Microsoft always mentions *licenses* Not usage on desktops.
