Too bad JVP is not monitoring this so he could chime in. I have learned from the plight of others that under tort law, unless you have a very clearly defined contract in place, to pull a computer system from a business that depends on it to operate (without adequate notice), you are risking a major exposure to getting your ass sued from here to eternity, and may face fines in some states for doing so as well. The more a business depends on your software solution the more likely they will prevail in a lawsuit.
That does not mean you do not have rights also, but you better make certain you have a damned good attorney who does a damned good job of clarifying the impact to a client were they to fail to timely pay their bills for whatever solution you are offering them.
