Judging by the error about upgrading pve-manager, and not using dist -upgrade, I'd say you didn't follow the instructions on http://pve.proxmox.com/wiki/Upgrade_from_3.x_to_4.0 which indicate that pve-manager (among others) should be removed before upgrade.
