From my experience, ESRI/ArcGIS produces not really wrong, but incomplete .prj-Files in regard to the "towgs84" - Parameter. I solved the problem using the suitable .prj-file I sent with the last e-mail in renaming it according to the shape file in question or copying the part to the ESRI-generated .prj-file.
