Have you tried to delete the plugin completely from plugin folder under
.qgis2?

Subject: [Qgis-user] Processing toolbox will not load
Hi all,
A colleague has just upgraded to QGIS 2.2 using the OSGeo4W installer with
the most up to date install packages. However, when she opens QGIS she gets
an error message saying that the Processing Toolbox cannot be opened. It
won't reinstall from the plugin manager either and simply says that it's
broken.
She's running a 64bit Windows 7 Machine. I have a similar setup and have it
installed no problems.
The error message is:
