That sounds like you did not read the help (the little ? buttons). You 
have to place the 4 orange markers on the grid crossings as shown in the 
little picture.

Now you enter the nothing and easting of the number 1 marker. And you 
give the distance between marker 1 and 2 (width) and 1 and 3 (height). 
On large maps you want to skip some crossings. Then it's 4000 or 6000. 
But you have to place the markers according to that.

Do not forget to supply the correct projection string as it is used ot 
convert the UTM coordinates into lon/lat WGS84.

Now the number of generated reference points should be in a acceptable 
range. Next you have to fine tune each point to be on a grid crossing. 
That is quite some work. The new version of QLGT (1.2.2) let's you move 
between the points by pressing the n and b keys.

Finally you have to select a target projection for the map. If you do 
not want to reproject the map it's the same as in the grid tool dialog.
