If you root file system uses the same drivers on both motherboards, and
the processor on the new motherboard is the same or higher class, you
should be fine.  You can run into problems changing from an Intel CPU to
an AMD CPU, or the other way around...  You can also run into problems
is you have a built in SCSI controller, and the controller on the new
motherboard is different.

If you are changing processor familys, and want to be safe, compile a
386 or 486 kernel, and keep that around just in case.
