On CentOS 4 I use the CentOS Server CD and do a minimal install.
Then load the following packages:
#yum install perl xinetd gcc make kernel-devel zlib-devel* compat-db*
compat-glibc* compat-libstdc* xorg-x11-libs.i386
then do a yum update.
On CentOS 5 I do an install from the first CD, deselect all packages,
including "base" and then:
#yum install perl xinetd gcc make kernel-devel zlib-devel* compat-db*
compat-glibc* compat-libstdc* libX11.i386 libXtst libXt libXrender libXi
and do a "yum update"
In both cases, reboot to get the updated kernel running, then do the
VMWare server installer. It should run smooth.

That's a setup very similar to the one I'm planning.
Did you have to follow any special steps to install VMware Server on
