Just a few thoughts...

Why in the world would you want to depend on windows to handle your internet 
sharing?  If you setup your linux machine to share the modem, you will get a 
lot more bang for your buck... setup your linux box to do dial-on-demand and 
use squid.  You won't have to wait for DNS lookups (it will cache them after 
the first lookup), or for graphics downloads (also cached), etc.  If you go 
to the same sites very often, you'll notice a significant speed increase 
over standard modem surfing.  And let's not forget about firewalls... or the 
reliability of linux compared to windows.

What type of proxy are you using? I recommend Winproxy. It will dial out
to get the initial connection and then continue on from there. The idea
is that the Win box could be headless so you'd not need to do anything
but fire up your browers and start surfing.
