Try putting the following as the first item in your path statement,
C:\Program Files\Rational\Common
(or D:, etc. wherever you install to)
If on win 95\98 you may need to use the short path
C:\PROGRAM~1\RATIONAL\COMMON
Typically you may see this problem if your path statement is
> 255 characters or it contains an invalid entry somewhere
along the way.
