The first one (Mirco Mark ) looks to be a Chinese import  that can be found at 
a number of outlets. (It about $10.00 cheaper from Harbor Freight).

The second one is also probably an import, but it's probably a higher quality 
tool and it has the Sears name on it.

If you were to spend the extra money for the better grade tool (I would), go to 
a supplier who sells Mitutoyo (Digimatic), like Penn Tool. You'll get an 
industry standard instrument for the same price.
