I have just got a Cisco 7941G and am experiencing the exact same  
problem (phone is requesting .tlv file from TFTP server and never asks  
for .cnf.xml file). The phone originally had SCCP on it, but I  
downloaded and flashed with the latest Cisco SIP image (8.4(3)  
released 2009-01-13). In reading your message below, it looks like you  
were going to try an incremental upgradeā€“did you have any success with  
this?

Update and revision:
I now downloaded the oldest gettable SIP firmware for 7941/61, i.e.
8.0.2. I always get the same behaviour. But I realized it never got to
the SIP image completely loaded status.
I bought this phone and it had - no wonder - an SCCP image installed.
When plugging that into an ethernet port the first thing it does is
requesting an IP address and afterwards the CTLSEPmac.tlv file. In the
status section I see an SCCP firmware entry. When I do a factory reset
(that should be the right way to get the SIP firmware on such a phone,
right?) it now loads the term41.default.loads and some other files and
then reboots and requests the CTLSEPmac.tlv file. The firmware entry
in the status section now says term41.default.loads. Getting over this
CTLSEP step should bring the phone to load the SIP41XXX.loads file, I
assume.
But as I am not getting over this step it stays in the
term41.default.loads step, unfortunately.
Does that ring a bell to anyone? Does anyone of you have had the same
situation? In which state did you get the 7961G? SCCP? And how did you
manage to load SIP firmware onto it?

Afaik you first need to upgrade to the latest 7.x and then to 8.x.x.
That's the only way it worked for me (7961G initially on factory default
SCCP).

Did you create a zero byte file with that name?

I had to do that with a 7960 and it was very happy.
I was able to successfully load version 7.1 of SIP, and all seems to 
work with Asterisk.
And continues to work
I used the Solar Winds TFTP server on Win2K.

I have been unable to get version 7.3 or later to work properly though.
It will receive calls, through out no error messages, but is unable to 
place calls.
I am sure there is something it wants in one of the xml files, but I 
have yet to find it.
The sample files on the Wiki were used, work with 7.1, but not with 7.3
Though not directly related to Asterisk, that hasn't stopped thousands 
of other Cisco related postings.

I don't remember if I had this same problem with a 7961G but I did
figure out that you can not do an upgrade from factory default SCCP to
the latest SIP 8.x.x firmware. In my case the phone just did not work
properly. To make it work I downgraded the phone back to SIP 7.x
firmware (iirc I used 7.5) and then upgraded to the latest SIP 8.x.x
firmware.

I've upgraded from SCCP to SIP 8.x.x branch on 7961g and 7911g without
any problems. 

As far as the CTLSEP File (Straight from Cisco):

The CTLSEP MAC file is a certificate trust list, which if populated,
contains information about the servers to which the phone is attempting
to connect and whether the server connection will be secure or
nonsecure. 

Based on the information above an empty file will work just fine.

I just attempted to use a blank CTLSEP(mac).tlv file with my Cisco 7971G-GE
and it would not complete booting. The message log shows that the when the
phone finds the blank CTLSEP(mac).tlv file it says CTL update failed,
retries two more times, then the status line shows Configuring IP then the
log shows File Auth Fail : CTFFile.tlv. Looks to me like it is  possibly
searching for another file, any ideas?

 I don't remember if I had this same problem with a 7961G but 
 I did figure out that you can not do an upgrade from factory 
 default SCCP to the latest SIP 8.x.x firmware. In my case the 
 phone just did not work properly. To make it work I 
 downgraded the phone back to SIP 7.x firmware (iirc I used 
 7.5) and then upgraded to the latest SIP 8.x.x firmware.

As I see it this matrix is only for the 79X0 generation, right? Every
howto I found said that it would be no problem to have the CTLSEP file
empty. I just tried to build up an empty file on Windows but that did
not help. So my problem is that every howto is proposing that this will
work with an empty file but in fact it does not work for me. 
I have SIP firmware 8.3.3-SR2. Do you have any experience with this
image?

I've always found it best to run with no CTLSEPMAC.tlv file in the
tftp server directory; it will ignore that and move on.

With the 7961's you'll be best in the 8-3-3SR2 leading edge, the DND
button is where it should be, and transfers work the way they should
again.

The XML configuration file is different, I'll post one onto the Wiki
that actually works and takes updates.

Can you post a pinout of the cable that you're using for serial? I have
a 6 Wire cable and a RG12 (6 Wire) to DB-9, but no working pinouts...

Ideally from End to End pinout would be great.

Thanks for the hint. I just tried that although I only see my worries
coming true: the CTLSEPmac.tlv file is the first one the phone
requests when booting, no possibility to set something different as the
SEPmac.cnf.xml should be loaded after the successful load of the CTL
file. And thus the phone is looping with Configuring IP and CTLFile
failure. Can I set this option by ssh?

 I don't remember if I had this same problem with a 7961G but 
 I did figure out that you can not do an upgrade from factory 
 default SCCP to the latest SIP 8.x.x firmware. In my case the 
 phone just did not work properly. To make it work I 
 downgraded the phone back to SIP 7.x firmware (iirc I used 
 7.5) and then upgraded to the latest SIP 8.x.x firmware.

That is not the name the phone requests
When uping my 7960, the empty file did the trick
I so far am unable to go beyond 7.1 however, as Asterisk rejects 
anything I dial with 7.3

That is not the name the phone requests
When uping my 7960, the empty file did the trick
I so far am unable to go beyond 7.1 however, as Asterisk rejects 
anything I dial with 7.3
Anyone have SIMPLE sample config files?

Here is the info on the Cisco console cable I use. There are a couple ways
to make the connection depending on what you have available. I used a piece
of 6 wire flat satin (like the 4 wire telephone station cord only with 6
wires) and put an RJ-12 on one end then put an RJ-24 on the other with the
cable aligned to fill the 6 middle connections. Make sure to put the same
side up on both ends (like a telephone wire) so that it is a straight
through cable. Then I used a Cisco RJ-24 to DB9 terminal adapter that comes
with a router or switch to connect to the PC. If you don't have that adapter
and need to crimp or solder your DB9 connector (blech...) the pinout is
below.

I don't remember the correct way the pins are labeled on the RJ connector so
you need to be looking at it with the clip away from you and the cable
opening on the left then start with the top pin as pin 1.

Your nomenclature on the modular plugs are incorrect.
RJxx references specific JACK wiring schemes originally defined in FCC 
part 68, but removed in year 2000
There are:
4position 4 contact  plugs - used for handsets and Sangoma A200
6 position plugs, with either 2,4 or 6 contacts - commonly and 
erroneously called RJ11
8 Position plugs with 8 contacts used for many applications, including  
Ethernet
10 position plugs - seldom if ever seen.

You are correct, I made some corrections.

Here is the info on the Cisco console cable I use. There are a couple ways
to make the connection depending on what you have available. I used a piece
of 6 wire flat satin (like the 4 wire telephone station cord only with 6
wires) and put a 6 pin modular connector on one end then put a 8 pin modular
connector on the other with the cable aligned to fill the 6 middle
connections. Make sure to put the same side up on both ends (like a
telephone wire) so that it is a straight through cable. Then I used a Cisco
RJ-45 to DB9 terminal adapter that comes with a router or switch to connect
to the PC. If you don't have that adapter and need to crimp or solder your
DB9 connector (blech...) the pinout is below.

I don't remember the correct way the pins are labeled on the 6 pin modular
connector so you need to be looking at it with the clip away from you and
the cable opening on the left then start with the top pin as pin 1.
