Update:
Installed by provisioning server
the bug can be reproduced from 3.2~3.12
XPDV status in /proc/acpi/wakeup is enabled by default

Installed by USB stick
   the bug is disappeared even downgraded to 3.2.0-61
   XPDV status in /proc/acpi/wakeup is disabled by default

No sure what is the causes of different XPDV status.

I disabled the wakeup sources in /proc/acpi/wakeup for further
experiment under 3.2.0-61

I found that this bug is disappeared by disabling XPDV wakeup source with 10 
times shutdown test.
(The disabling command is echo XPDV  /proc/acpi/wakeup)

The information from lspci and acpi wakeup table indicates that XPDV and
NIC is the same device.

I will look at the PCI driver, too.

If Ethernet cable is plugged, this issue can be reproduced  on 3.2.0-61.

Following 3 conditions can avoid this issue.
1. Removed NIC driver (atl1c)
2. Disable NIC from BIOS
3. Unplug Ethernet cable
It should be a NIC driver bug.

Verified this bug on Ubuntu 12.04 (3.11.0-15-generic), this issue is
disappeared.

This issue cannot be reproduced with the latest mainline kernel
3.15.0-999.201405220205 2014-05-22-utopic

After this kernel was installed, this issue cannot be reproduced with
3.2.0-61 nor 3.2.0-23
