Audit for 2023 books

As in previous years, the SPI board decided to get an external audit
done of our books for the year 2023.  This will be done by Gary
Eisenkraft CPA and his team (<https://eisenkraftcpa.com/>).

I delivered the books and supporting material to Gary's team earlier
this week.  I'll let you know when the final, audited financial
statements are available.

That's exactly what Jonatas is describing.  Projects can add GitHub
Sponsors on their profile, using SPI as fiscal sponsor.  Donors will
give to the projects.  The money will go to SPI, with a note that it's
for the project.

Small typo in 2020 audited financial statements

I noticed a minor typo in the 2020 audited financial statements.

On page 9, in the table of "net assets with donor restrictions", the
ending balance for ArduPilot is stated as 118,878.  However, this
should be 117,878.  It must be a typo introduced when copying numbers
because the total is correct.

I delivered the audit pack to Gary's team on Monday (as agreed).

As part of the preparation for the 2021 audit, I fixed a number of
pending issues for 2021.  I also reviewed all transactions and fixed a
number of minor issues; see the changelog below.

I've updated the reports on the web site but they are still a *draft*
until the audit has concluded.  We hope this to be in time for the AGM
in July.

Changes:

* Add two invoices which were submitted to SPI in 2022 but which should be 
accrued in 2021.

* Accrue expense for 2021 audit.

* Fix one case where dividends were allocated fully to SPI rather than SPI and 
Debian in proportion of ownership. (This was a known issue flagged as to be 
resolved later.)

* Show securities at fair market value (FMV) instead of cost.

* Create a receivable for IT hardware where the vendor charged too much.  
Update depreciation accordingly.

* Include a $10 donation that got lost in the cash->accruals migration.

* Fix issue that bank fees and currency exchange differences weren't shown 
(affecting payments in December 2021).

* Remove an accrued expense that was rejected by the SPI board.

* Fix one misclassification of a payment as a donation (for OpenZFS).

* Fix the exchange rate of one expense.

* Split one expense into expense and currency gain.

* Add a small donation that came in late.

* Add a missing donation (it was actually in the books but not reported due to 
a bug).

Audit for 2021

The SPI board will get an external audit of the 2021 financial
statements done (as in previous years).  This will be done by
Gary Eisenkraft CPA and staff.

We hope the audited financial statements will be ready for the
AGM in July.

(There were significant delays with the 2020 audit for a number
of reasons; hopefully this can be avoided this time.)

If your project needs preliminary data for 2021 income/expenses
(in addition to the published draft reports), please open an RT
ticket.

There was one problem in the 2021-12 report regarding the openzfs
earmark: a payment (for an outstanding receivable) was flagged as
a donation.  Therefore, donations and A/R were overstated.

This also means the opening balance in the draft 2022-01 for openzfs
is incorrect (by $950).

I've fixed this in the books.  We have a number of systems in place to
avoid such mistakes, but this unfortunately got through:

* Most A/R payments are automatically recognized in our import
  scripts now, but not all payments methods are hooked into that
  mechanism yet. (Even if it were, we can't recognize everything
  automatically, although the level of automation has increased
  substantially since the migration to beancount.)
* I run A/R checks periodically (and especially at year end before
  creating opening balances for the next year), but I am behind
  with certain year ends procedures. (I had limited time for SPI
  recently but this will change as of next week.)
* I review donations over a certain size via PayPal manually
  (to identify potential payments and other transactions to be
  aware of) but I don't do the same for Click & Pledge.  I will
  add this check to the procedures.
* I was actually aware of this payment but forgot about it when
  I imported the transactions (see first bullet point so we don't
  need to rely on my brain).

Here are some of the changes I made since draft reports were published
on this mailing list:

* The balance of ffmpeg was understated by $500 due to booking an expense twice.

* The balance of `Assets:Receivable` was understated by $25 due to unrecorded 
donations.

* Show securities at fair market value (FMV) instead of cost.

* $50 donations were not shown due to a bug in the reporting scripts.

* Applied changes to move to the accruals basis:
* Accrued $3371.00 of incurred expenses for X.Org (increases expenses, 
decreases project balance)
* Accrued $153.73 of incurred expenses for SPI (increases expenses,

Changes to the accounting system in 2020

SPI has made two substantial changes to its accounting system and
books in 2020:

* Migration from cash basis to accrual basis: the accrual basis is a
method of accounting which gives a more accurate picture of the
financial status.  It also makes it easier to track outstanding
payments.

* Migration from ledger to beancount: both are text-based, FOSS
accounting systems.  Beancount offers a number of advantages, in
particular a Python API which can be used to access data and to extend
the functionality of the accounting system.

We have used the migration to beancount to improve the accounting
process in a number of ways, in particular to add more automation and
checks.

* Importers for various donation platforms to reduce the amount of time
  it takes to import data while making the process less error-prone.
  We use OFX/CVS importers from beancount, but we have written importers
  for a number of donation platforms that are used to donate to SPI
  (e.g. Network for Good, CyberGrants).

* Scripts that encode business logic in order to automate common
  processes.  For example, when importing bank transactions, scripts
  now look up outstanding accounts payable and assign transactions
  accordingly.

* Validation of data through plugins, such as ensuring that payments
  match the accrued amounts, checking payees for misspellings, and more.

* Bank reconciliation: due to the way checks are handled, a bank
  reconciliation showing differences between the bank statements and our
  books of record has to be generated every month.  This process
  is handled by a script. (Checks are recognized immediately when they
  are received/sent, not when they are actually deposited by the bank.)

Finally, we improved the internal documentation considerably,
documenting not only the accounting system, but also common tasks and
areas, such as onboarding of new projects, vendor management, and more.
While the documentation isn't 100% complete, I'm pretty happy with the
current state, in particular I think it does a good job of reducing the
"bus factor" (i.e. someone else could take over if I'm hit by a bus).

# Future work

* Reporting: the reporting script is still the old one, and it's no
  longer fit for purpose.  I need to replace it completely, which is
  more complex than one would expect for a number of reasons.
  (One reason is that projects want monthly reports that are fairly
  stable, but, especially now that we're on the accruals basis,
  things change sometimes: e.g. donation platforms often inform us
  months later of donations but we recognize the donation on the
  day it was made, not when we were informed.)

* Customized reporting: we sometimes do some customized reports for
  projects; it would be good to automate those.

* Item-level data for projects: we intend to share transaction data
  with projects, but again this is slightly more complex than one
  might think. (One reason is that one transaction can involve
  multiple projects, so we have to write a script that splits up
  such transactions.)

* PayPal importer for beancount: almost everything is beancount "native"
  now except the reporting script (we convert from beancount to ledger
  and run our old ledger reporting script) and PayPal (we use our old
  ledger script and convert to beancount).  The reason I haven't
  converted the PayPal importer is because it contains quite a bit of
  business logic, but I'll convert it eventually.

Yes, I can confirm that this is SPI's contact for Open Voting Foundation.
The email is firstname at openvotingconsortium.org

I asked Alan in 2018 whether Open Voting Foundation on the SPI web
site should be renamed to Open Voting Consortium and he indicated it
shouldn't change for now; maybe this should be revisited now.  As
you point out, there's no web site for Open Voting Foundation.

Treasurer's reports and audit for 2020

All treasurer's reports for 2020 were marked as "draft".  This is
because SPI switched from the cash basis to the accruals basis of
accounting in 2020 and this requires some adjustments.  They will be
made as part of the preparation for the external audit.

We intend to get the external audit finalized in time for the AGM in
July.  At this point we will publish final treasurer reports for 2020
and the audited financial statements.

If your project needs reports for 2020 before July, please let me
know.

Yes, that's unfortunately in line with what I'm seeing.

The new recurring payment another donor setup also failed yesterday.
I've reached out to PayPal again.

Can you put me in contact with this donor (off-list), so I can ask
some more questions.

I'm sorry about these problems.  Unfortunately, PayPal's support is
extremely poor, so it's hard to work out what's going on.

Unfortunately there have been problems with recurring payments on
PayPal for the last weeks.  I've been in contact with PayPal support
but alas their support isn't very good.

One donor tried to cancel and re-create the recurring payment and we
should find out today or tomorrow if that workaround works. (I still
hope for PayPal to find a proper resolution, though.)

I don't think it's related to 3D Secure, although that's an
interesting theory.

Even though we applied several times over the years, we never
received a reply from PayPal.

Re: External audit for 2019 financial statements

In preparation for the external audit for 2019, I made a number of
(minor) changes to the 2019 books, i.e. compared to the reports we
published previously:

# Changes to the 2019 reports

* In the October report, $472.00 expenses for SPI were classified as 
accommodation but should be legal expenses.
* From July to November, a very small transaction each month (<$1) was 
misclassified as a bank expense for SPI whereas it should have been an IT 
hosting expense for Chakra.
* One expense was changed from `Expenses:Travel:Dining` to 
`Expenses:Conferences:Dining`.  The former is used for food during travel 
(including travel to conferences) and the latter for food provided by 
conferences organzed by SPI projects (but sometimes the distinction is a bit 
fuzzy).
* $200 was booked against `debconf19` instead of `debconf17`.
* Some OpenEmbedded conference registration fees were shown as donations 
instead of registration fees.
* The initial fund transfer from OpenSAF was sent to the SPI general fund by 
mistake.  We make an adjustment to allocate the funds to OpenSAF.
* A check was posted on 2019-11-15 to pay for CHAR500 filing fees.  
Unfortunately this was not recorded.
* Fix rounding of SPI 5% for PayPal and Click & Pledge (a 1 cent difference in 
some cases)
* Fix SPI 5% in two cases (less than $0.25 difference)

External audit for 2019 financial statements

As for the year of 2018, SPI will get an external, independent audit
done for the 2019 financial statements.  This process will start next
week and we expect to have the audited financial statements in time
for the Annual General Meeting (AGM) in July.

Make sure reality is reflected.

The annual report lists the advisors, but they haven't been consulted
in years, so imho it makes sense to reflect that.  It also creates
more balance between projects (why is the Debian project leader always
an advisor?)

(For the record, I'm not on the board and can't speak for SPI.  But I
brought this up when I was on the board and had the action item to
write a resolution, which unfortunately I never did.)

I think there should be some rationale in the resolution as to why,
i.e. that this is not a reduction in transparency but a reflection
that monthly SPI board meetings are open and that everyone is
invited to participate (rather than limiting input to some special
advisors).

For the record, there were >80 tickets in the accounts payable
recently (which is the highest level I've seen due to, as Michael
mentioned, several big conferences happening recently).  The

Audited financial statements for 2018 available

f negative project balances

Some projects (some of the DebConfXX earmarks and OpenZFS) had a
negative balance at the beginning or end of the year.  While SPI has
historically been lax about this (in the assumption that this is just a
cashflow issue and that donations will come in later to pay for the
expenses), the auditors didn't like that for a good reason: a restricted
fund can't be negative.  You can spend it down to zero, but you can't
go negative.

For DebConfXX, the solution was simple: merge all DebConfXX into one
"Debian Conference", which has a positive balance.  The financial
statements will show one "Debian Conference" earmark because of this
reason while we retain the separate DebConfXX earmarks for the treasurer
reports (with some of the earmarks being negative).

For OpenZFS, there was no clear solution.  SPI basically extended a loan
to OpenZFS but the OpenZFS restricted fund is not separate from SPI so
we can't have a real loan.  What it means in practice is that OpenZFS
spent down all their funds and their remaining expenses were covered
from SPI's general fund.  However, in order to be fair, we're treating
this as a loan and will move funds from OpenZFS back to SPI's general
fund in 2019 to cover the excess 2018 expenses.

There was a minor error in the September report.  Income for SPI
was overstated by less than $15.  The income should have been
allocated to Debian, FFmpeg and LibreOffice (1/3 each).

You bring up a very good (related) topic, namely custom reporting.
Several projects have asked for some information (e.g. a project has
partnership program and want to see monthly partnership payments; one
project launched a campaign and wanted to know number/amount of PayPal
donations and number of recurring donations).

Such custom reports weren't really possible in the past, but are
possible in theory now.  The questions are: what custom reports would
projects need, and (for the board) is that a service SPI wants to
provide?

Yes, SPI has moved to ledger, a text-based FOSS accounting tool:

No, this is not available at the moment.

Since all data is in ledger now, providing such data to projects would
in theory be possible, but there would have to be some work,
including:

* Some sanitization of the data: projects are independent of SPI, so
there might be data privacy considerations.  Currently there's no way
for donors to give consent for their information to be shared.  I
think the long-term solution for that is a donation portal where
donors can give that consent and which then allows them to make payment
via a number of mechanisms (e.g. PayPal, Stripe).

* A policy for projects on data use

* Export and data sharing considerations (what format: CVS/ledger?,
private access how: SSH/git?, etc).

If you (or other projects) want data, please email the SPI board at
bo...@spi-inc.org to indicate what data you want/need, what for, etc.

I noticed a problem with the 2019 election: Tim Potter's term didn't
expire this year; instead it will expire next year.

I believe this happened because Valerie, who had been secretary

positions, it has not impact on who was appointed as director in 2019.

In my view, Tim was incorrectly appointed in 2019.  His term should
expire in 2020 when he can run for re-election.

We don't use accounts for the project allocation (but meta-data) but

Tyler wasn't on the board at this time (he was interim in the past);
that should be Dimitri John Ledkov.

But more to the point, it seems that the terms of Jimmy Kaplowitz and
Martin Zobel-Helas ended.  Jimmy served as President recently and
Martin has done *a ton* over work over the years (a lot of it behind
the scenes, so people are not aware of the amount but it's been a
lot!).  They should be thanked as well.

Actually, the numbers don't add up if I'm not mistaken...

If you look at "last elected" at

and look for "July 2016" (3 years ago), you see Jimmy, Tim and Martin.  And 
there were
two interim directors (Renee and Dimitri).

So it seems there were 5 slots but only 4 appointments.
