XPHome cannot run anything that requires you to login as
administrator,
as you cannot login as administrator unless you do so from
safe mode,
and safe mode won't allow you to do anything!

XP Pro is more lenient

In your first post you said XP Pro
In the last one you said XP Home

which is it?

It is Universe PE (just downloaded yesterday).

I have shutdown my virus protection but still have not had
any luck.

By the way .. i use NOD32 which I have found to be the best
non-intrusive
virus protection around.  The XPHome box running universe is
also
running
NOD32 and has no conflicts.

David,
I assumed you've tried this, but just in case:
Go to the UniVerse Admin Control Panel.
Select Network Services.
Change the Telnet port to 2300, or some other unused port.
Try to reconnect.
If you have an IP port conflict, this should expose it right off. You 
can also add users in this section, make sure you have at least one.

1) Uni-XPPro on network.  Network works valid NO firewall. I can PING from 
secondary machine.

2) Netstat shows the following

  TCPDSigsHpLaptop:3029 207.46.156.60:http CLOSE_WAIT

  TCPDSigsHpLaptop:telnet   localhost:3037 CLOSE_WAIT
  TCPDSigsHpLaptop:telnet   localhost:3038 CLOSE_WAIT
  TCPDSigsHpLaptop:telnet   localhost:3039 ESTABLISHED
 
Disconnecting the local hyperterminal and 3039 goes to CLOSE_WAIT
 
After turning off Uni Telnet all :telnet go away
 
3) PE version 10(?) just downloaded yesterday
