In unity and 14.04 64bits desktop too
I try to disable the toolbar menu 'Display..show tool bar' to don't have the 
shortcuts problem (I need Alt+a for weechat :) ).
I note that the 'Show tool bar' don't work too. 
But it's possible to run gnome-terminal in CLI with the --hide-menubar option:
gnome-terminal --hide-menubar
like that: no menu= no menu's shotcuts :)

(I'm not using an EN version, so sorry if menu tiltle don't match
exactly)

I have the same problem too.
with a release-upgrade (12.04=12.10 or with the 12.10 liveCD

Server run  Common UNIX Printing System 1.3.8 And work fine for ~200
others GNU/LINUX clients (major part is Ubuntu 12.04 10.04 , and some
Debian Squeeze and Fedora)

It's not a real bug
Note that if you're upgrading from 10.04 LTS, do-release-upgrade will complain 
No new release found until 12.04.1 is released. To force an upgrade, use the 
-d option
(here:

 )

On desktop Ubuntu 10.04.4 LTS too:
with update-manager set on LTS only , 12.04 is not proposed as with

Switching to normal version propose the 10.10

sudo do-release-upgrade -d
run the release upgrade without any problem with resolconf.
I don't see any raison to mark this report as duplicate with

so I remove the link duplicate bug
