access System Manager, get error
Access is denied, Facility Win32, ID No: c0070005,
Sounds stupid, but delete the local admin profile, log back in as admin and
try again.

Why don't you re-run the Exchange 2003 installation? It looks like
Windows 2003 setup over-wrote some Exchange-related stuff.
