It sounds like a hardware issue.  If you are seeing hardware related errors
in the event log, you are probably looking at flaky memory.  If you don't
see any errors, it is possible that your processors are getting tired.  If
you have identical hardware, try swapping parts (assuming you run
enterprise-class machines and swapping parts won't destroy your server
altogether [1]).  If you don't, try scheduling some down time and run
hardware diagnostics.  Of course, read the DR Whitepapers, take two backups
and prepare for DR before you do any of that.

I wondering if my ups cause this over the weekend my ups was hit and the
server shut down.  Ussually the ups can hold up but this time it didnt I
think I will purchase a new ups today due to too many hits over the past
year.  The only thing that runs at night is the backup.  I also have right
fax and that was getting hung up over the past weekend after server got hit.
It seems to be working fine now

the server.  After I restarted it showed that the backups completed
succesfully.

One time I didtry to connect to server manager but I couldnt connect to the
server.  It seemed to me that the server somehow lost network connection.
Then I was able to open a few windows and then the server froze.

machine and see if you can shutdown services gracefully.  Cold boot when
services are running makes me fear a DB corruption.

We had that happen here, and oddly enough the problem went away on its own.

anything on this server for a long time.  I checked the event viewer and I
couldnt find anything that would cause the server to lockup over night.  It
is strange this ussually happens when no ones in the office and the backup
is running.  Maybe another solution would be to reinstall backup exec.  Not
sure any suggestions.

Yes the backup does finish.  The server first showed that the backups were
still running then the server froze and I switched the button to turn off
the server.  After I restarted it showed that the backups completed
succesfully.

Are you sure its actually freezing?  Maybe your shell is just freaking out.
Next time it happens try to connect to it with server manager on another
machine and see if you can shutdown services gracefully.  Cold boot when
services are running makes me fear a DB corruption.

We had that happen here, and oddly enough the problem went away on its own.

Are you sure its actually freezing?  Maybe your shell is just freaking
out.
Next time it happens try to connect to it with server manager on another
machine and see if you can shutdown services gracefully.  Cold boot when
services are running makes me fear a DB corruption.

We had that happen here, and oddly enough the problem went away on its
own.

is running.  Maybe another solution would be to reinstall backup exec.

One time I didtry to connect to server manager but I couldnt connect to the
server.  It seemed to me that the server somehow lost network connection.
Then I was able to open a few windows and then the server froze.

Are you sure its actually freezing?  Maybe your shell is just freaking out.
Next time it happens try to connect to it with server manager on another
machine and see if you can shutdown services gracefully.  Cold boot when
services are running makes me fear a DB corruption.

We had that happen here, and oddly enough the problem went away on its own.

machine and see if you can shutdown services gracefully.  Cold boot when
services are running makes me fear a DB corruption.

You don't mention how it stops...Is it a BSOD? or what.

I had similar problems where it would lock solid but still answer a ping
which I traced to a faulty RAID card...it happened during the backup.
I have also had a corrupt pagefile do this. Only solution was to move
pagefile to a different partition, delete the old one and move back to
original location.
