I disabled the wakeup sources in /proc/acpi/wakeup for further experiment under 3.2.0-61 I found that this bug is disappeared by disabling XPDV wakeup source with 10 times shutdown test. (The disabling command is echo XPDV /proc/acpi/wakeup) The information from lspci and acpi wakeup table

If Ethernet cable is plugged, this issue can be reproduced on 3.2.0-61. Following 3 conditions can avoid this issue. 1. Removed NIC driver (atl1c) 2. Disable NIC from BIOS 3. Unplug Ethernet cable It should be a NIC driver bug. Verified this bug on Ubuntu 12.04 (3.11.0-15-generic), this issue
