Interesting.
When installing Oracle 8.0.4 on NT, there are 2
versions of the listener installed, tnslsnr.exe and
the 'new' tnslsnr80.exe.
A service is installed for each. For some reason,
the old tnslsnr.exe is setup to start automatically,
while the newer tnslsnr80.exe is not.

We had the same thing an it was because the current connections + oracle SGA
used up to 2GB limit of memory available for oracle on NT. The solution for
us was to lower the size of the block_buffers so the SGA used less memory.
The solution that Chaim talks about works only on NT

We've had a symtoms like that (Oracle 7.3 and windows NT). In our case it
was related to the size of the Oracle executable on windows - it grows
dynamically based on the number of connections (and how much work the
connections are doing?) but it normally can't grow larger than 2Gb because

It'll take some time to really test and implement the solutions.
I have also checked Metalink, they too suggests mainly processes
and removing ORACLE_HOME from listener.ora. Actually I wanted
to know that whether these solutions have worked in real life
problem or not ;-))
